Sell Side · Diligence Readiness

We run an AI due diligence on your company first, so the gaps get closed on your timeline, not theirs.

A buy-side team runs this review over months and bills into the hundreds of thousands for it. RMG runs the same review with AI against your own data room: MECE structure, deal-killer triage, diligence expert style answers, delivered in fourteen days at a fraction of that cost. Every finding lands with you first, while you still have time to fix it and no exclusivity clock is running.

On a $10M sale you are already looking at $600K to $1.2M in broker, legal, and accounting fees to transact. This is 2% of that.

Who we do this for: founders and owners 3 to 12 months from a sale, sellers whose banker has asked for a data room, and companies that have been approached by a strategic buyer and want to know what a diligence team would find before answering. Not required: a finished data room, a signed banker, or a decision to sell.
1

We audit the gaps

AI reads every document in your room and cross-references them against a MECE structure covering legal, financial, commercial, tech, and org. Missing sections, thin coverage, and contradictions between documents surface in days instead of the weeks a manual associate review takes, which is what makes running this on yourself affordable at all.

2

We triage the deal killers

We rank every gap by how often it kills a deal and how fast it's fixable: unassigned IP, cap table issues, customer concentration, undisclosed tech debt. You get a sequenced fix list, so your remaining months go to what actually moves the outcome.

3

You get a ready room

We recommend a data room structure plus a response playbook: Pyramid-Principle answers to the questions you'll actually be asked, a 24-hour response protocol for your team, and a narrative your banker can carry straight into the process.

Now Included

Your AI is now part of diligence

Buyers have started probing AI the way they probe IP. Which models you depend on and what a price change or deprecation would do to your margin. Whether your training data and customer data actually give you the rights you have claimed. What you shipped on vendor terms that may not survive a change of control. We assess that alongside the rest of the room, so it does not become the question you cannot answer in week three of diligence.

We run before the clock starts

Findings reach you ahead of your first term sheet, not mid-diligence with an exclusivity window already ticking and every concession priced against you.

Confidential by design

Your documents run under NDA on enterprise model terms that exclude your data from training. Nothing we touch leaves your control, and nothing surfaces to a buyer before you decide to show it.

Answers built to survive a pre-mortem

We write each response to hold up against the same associate who would otherwise have been the one finding the gap.

Priced against one retrade

On a $10M deal a single rejected add-back can move purchase price by $200,000, and a working capital adjustment by more. The sprint costs a fraction of one of them.

Duration
Fourteen working days from kickoff to delivery. Flat fee, fixed at kickoff. No hourly meter, no open-ended discovery phase.
What we need from you
Read access to whatever you have: a live data room, a shared drive, or a folder of contracts. Plus roughly four hours of principal time across the sprint.
What you receive
A ranked gap report, a recommended MECE data room structure, a sequenced remediation plan, and the response playbook. All of it yours to keep and reuse in every subsequent conversation.
Optional add-on

We build the room for you

Most sellers take the recommended structure and have their own team or counsel assemble the room against it. If you would rather not run that yourself, we can build it: we stand up the folder tree, index and file the documents you already have, flag the placeholders still owed, and hand over a room your banker can open. $30,000 to $45,000 depending on document volume. It starts after the sprint delivers, so you are only paying to build a structure you have already reviewed.

Start here: a 30-minute readiness call. Tell us where you are in the process and what you've assembled so far, we confirm your tier and kickoff date, or we tell you plainly that you don't need us yet.

No data room assembled yet? The sprint gives you the structure to build one against, and we can build it for you from there. Send what you have and we'll work from that.
